THIS END-USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A LEGAL ENTITY) AND CHROMACHECKER CORPORATION ("CHROMACHECKER," "WE," "US," OR "OUR") CONCERNING CHROMACHECKER'S SOFTWARE APPLICATIONS FOR DESKTOP AND MOBILE DEVICES ("SOFTWARE").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.

If you are accepting this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

OrganisationThe company or other legal entity identified in your ChromaChecker Subscription

2. License Grant

2.1 Limited License

Subject to your compliance with this EULA and maintenance of an active Subscription, ChromaChecker grants you a limited, non-exclusive, non-transferable, revocable license to:

The Software supports optional Plugins. Plugins are not covered by the license granted in Section 2.1 and are licensed separately.

(a) Separate licence. Unless stated otherwise for an individual Plugin, a Plugin licence is granted to the Organisation, not to an individual User, and is assigned to a specific computer (a "seat"). Any User authorised by that Organisation may use the Plugin on that computer. Reassignment of a seat to another computer is permitted under the conditions ChromaChecker publishes; repeated reassignment intended to share a single Plugin licence across multiple computers is not permitted and may result in the seat being suspended.

(b) Plugin Terms. Installing or using a Plugin requires acceptance of that Plugin's Plugin Terms, where published. In the event of conflict, the Plugin Terms prevail for matters specific to that Plugin, and this EULA governs all other matters. Plugin Terms may be updated independently of this EULA; a change to one Plugin's Plugin Terms does not modify this EULA or the terms of any other Plugin. Plugin Terms apply only to Plugins you install or use.

(c) Evaluation and change. Plugins may be made available for evaluation for a limited period. Plugin functionality is under active development: ChromaChecker may modify, replace or withdraw any Plugin, and functionality available during an evaluation period may afterwards be unavailable or require a paid licence.

3. License Restrictions

You shall NOT:

(a) Redistribute - License, sell, rent, lease, transfer, assign, or distribute the Software to any third party

(b) Reverse Engineer - Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except (i) as expressly permitted by applicable law, or (ii) with respect to third-party open-source components included in the Software (such as PySide6, Qt, and other LGPL-licensed libraries) to the extent required by their respective licenses. See the THIRD_PARTY_NOTICES.txt file distributed with the Software for details

(c) Modify - Adapt, modify, alter, translate, or create derivative works based on the Software

(d) Remove Notices - Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software

(e) Circumvent - Circumvent or attempt to circumvent any license validation, access controls, or security measures

(f) Misuse - Use the Software for any unlawful purpose or in violation of any applicable laws or regulations

(g) Compete - Use the Software to develop a competing product or service

(h) Benchmark - Publish performance benchmarks without ChromaChecker's prior written consent

4. Intellectual Property

4.1 Ownership

The Software is licensed, not sold. ChromaChecker and its licensors retain all right, title, and interest in and to the Software, including:

The Software includes third-party open-source components, including PySide6 and Qt (licensed under the GNU Lesser General Public License version 3). These components are subject to their own license terms, which take precedence over this EULA with respect to those components. In particular, you retain the right to modify and replace the LGPL-licensed libraries as described in the LGPL v3. Complete license texts and source code availability information are provided in the THIRD_PARTY_NOTICES.txt, LGPL-3.0.txt, and GPL-3.0.txt files distributed with the Software, and in the "About" section of the application.

7.4 Third-Party Services Accessed Through Plugins

Certain Plugins connect to services operated by third parties. Where a Plugin uses your own account with such a provider, your use of that service is governed by the agreement between you and that provider; ChromaChecker is not a party to that agreement and does not control the provider's availability, security, pricing or data handling. You are responsible for holding the rights necessary to grant the Plugin access to that account and for the content you transfer through it.

7.5 Network Behaviour and Security Disclosure for Plugins

A Plugin may change the network behaviour of the computer it runs on — for example by opening a listening port, communicating on the local network, discovering or controlling devices, storing credentials or browser cookies, or starting a background process. Where a Plugin does any of these, its Plugin Terms and accompanying documentation state:

ChromaChecker publishes a consolidated summary of this information for the Software and its Plugins so that it can be reviewed by your IT administrators before deployment.

Notwithstanding the above, ChromaChecker may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

14. General Provisions

14.1 Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and ChromaChecker regarding the Software.

14.2 Severability

If any provision of this EULA is found invalid or unenforceable, the remaining provisions remain in full force and effect.

14.3 Waiver

Failure to enforce any right under this EULA does not constitute a waiver of that right.

14.4 Assignment

You may not assign or transfer this EULA without ChromaChecker's prior written consent. ChromaChecker may assign this EULA freely.

14.5 Export Compliance

You agree to comply with all applicable export laws and regulations. You shall not export or re-export the Software to any prohibited country or person.

14.6 U.S. Government Users

The Software is "commercial computer software" as defined in FAR 2.101. Government users acquire the Software with only those rights set forth in this EULA.

This EULA is drafted in English. If translated, the English version prevails in case of conflict.

In case of conflict between this EULA and the Terms of Service, the Terms of Service shall prevail for matters related to the Services, and this EULA shall prevail for matters specific to the Software.

Plugin Terms are incorporated only for Plugins you install or use, and prevail over this EULA in matters specific to the Plugin they cover. See Section 2.4.
